These Terms and Conditions ("Terms") govern your use of the website logicmesh.in and the services provided by LogicMesh Tech Pvt Ltd ("LogicMesh," "we," "us," or "our"), a company incorporated under the Companies Act, 2013 (CIN: U62013KA2026PTC215494), with its registered office at Shiva Nilaya, CTS No.6695, B8C, Near KH Patil Stadium, Gadag - 582101, Karnataka, India. By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Definitions
- "Client" refers to any individual, company, or organization that engages LogicMesh for services.
- "Services" refers to software development, web development, mobile app development, AI & ML solutions, UI/UX design, automation tools, and any other technology services offered by LogicMesh.
- "Deliverables" refers to the software, code, designs, documentation, and other work products created by LogicMesh for the Client.
- "Project" refers to any engagement between LogicMesh and a Client for the delivery of Services.
- "Agreement" refers to the specific contract, proposal, or statement of work agreed upon between LogicMesh and the Client for a Project.
2. Services
2.1 Scope of Services
LogicMesh provides professional technology services including but not limited to:
- Custom Software Development
- Web Application Development
- Mobile Application Development (Android & iOS)
- Artificial Intelligence & Machine Learning Solutions
- UI/UX Design & Prototyping
- Business Process Automation
- Technology Consulting & Architecture Design
2.2 Service Delivery
The specific scope, timeline, milestones, and deliverables for each project will be defined in a separate Agreement (proposal, contract, or statement of work) mutually agreed upon by both parties before the commencement of work.
2.3 Changes to Scope
Any changes to the agreed scope of work must be documented in writing and may result in adjustments to the timeline, cost, or both. LogicMesh reserves the right to revise estimates based on scope changes.
3. Intellectual Property Rights
3.1 Client Ownership
Upon full payment of all applicable fees, the Client shall own all rights, title, and interest in the custom Deliverables created specifically for the Client under the Project Agreement, unless otherwise specified in writing.
3.2 LogicMesh Ownership
LogicMesh retains ownership of:
- Pre-existing tools and frameworks: Any proprietary tools, libraries, components, or frameworks developed by LogicMesh prior to or independent of the Client's Project.
- General knowledge and skills: Methodologies, processes, techniques, and know-how acquired or developed during the course of the Project.
- Reusable components: Generic, non-client-specific code modules or templates that may be used across multiple projects.
3.3 Open Source Software
Projects may incorporate open-source software components. Any such components will be subject to their respective open-source licenses, and LogicMesh will inform the Client of any open-source dependencies included in the Deliverables.
3.4 Portfolio Rights
Unless otherwise agreed in writing, LogicMesh reserves the right to display the project name, a general description, and non-confidential screenshots in its portfolio for marketing purposes.
4. Payment Terms
4.1 Pricing
All pricing, payment schedules, and billing terms will be outlined in the Project Agreement. Prices are quoted in Indian Rupees (INR) unless otherwise specified.
4.2 Payment Schedule
Payments are typically structured as milestone-based or periodic installments as defined in the Agreement. Common structures include:
- Advance payment upon project initiation.
- Milestone-based payments upon completion of defined deliverables.
- Final payment upon project completion and handover.
4.3 Late Payments
Payments not received within the agreed timeline may result in:
- Suspension of ongoing work until outstanding payments are cleared.
- Late payment interest at the rate of 1.5% per month on the outstanding amount.
- Withholding of Deliverables, source code, or access credentials until full payment is received.
4.4 Taxes
All fees are exclusive of applicable taxes. Goods and Services Tax (GST) will be charged as per the prevailing rates and applicable Indian tax laws.
5. Confidentiality
5.1 Mutual Obligation
Both parties agree to maintain the confidentiality of proprietary information, trade secrets, business strategies, technical data, and any other confidential information shared during the course of the engagement.
5.2 Non-Disclosure
Confidential information shall not be disclosed to third parties without prior written consent, except:
- To employees or contractors who need access to perform their duties, bound by similar confidentiality obligations.
- When required by law, regulation, or legal process.
- Information that becomes publicly available through no fault of the receiving party.
5.3 Duration
Confidentiality obligations shall survive the termination of the Agreement for a period of 3 years, unless otherwise specified.
6. Warranties and Representations
6.1 Service Warranty
LogicMesh warrants that:
- Services will be performed in a professional and workmanlike manner consistent with industry standards.
- Deliverables will substantially conform to the specifications outlined in the Agreement.
- LogicMesh has the right and authority to enter into the Agreement and perform the Services.
6.2 Bug Fixing Period
LogicMesh provides a bug-fixing period of 30 days from the date of final delivery for defects in the Deliverables that are attributable to LogicMesh's work. This does not cover:
- Issues arising from modifications made by the Client or third parties.
- Problems caused by the Client's hardware, software environment, or third-party integrations.
- New feature requests or scope additions.
6.3 Disclaimer
Except as expressly stated above, all Services and Deliverables are provided "as is." LogicMesh disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- LogicMesh's total liability arising out of or in connection with any Project shall not exceed the total fees paid by the Client for that specific Project.
- LogicMesh shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- LogicMesh is not liable for delays or failures in performance resulting from circumstances beyond its reasonable control (force majeure), including natural disasters, pandemics, government actions, internet outages, or power failures.
8. Termination
8.1 By Either Party
Either party may terminate the Agreement by providing 15 days' written notice if the other party materially breaches the Agreement and fails to remedy such breach within the notice period.
8.2 By the Client
The Client may terminate the Agreement at any time by providing 30 days' written notice. In such cases:
- The Client shall pay for all work completed up to the date of termination.
- LogicMesh will deliver all completed Deliverables and work-in-progress upon receipt of payment.
- Any advance payments for undelivered work will be refunded on a pro-rata basis.
8.3 By LogicMesh
LogicMesh may terminate the Agreement if the Client fails to make payments as per the agreed schedule, after providing a 15-day written notice to cure the default.
8.4 Effect of Termination
Upon termination, confidentiality obligations, intellectual property rights, and payment obligations for completed work shall survive.
9. Website Usage
9.1 Acceptable Use
You agree not to:
- Use the website for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorised access to any part of the website or its systems.
- Reproduce, distribute, or create derivative works from any content on this website without prior written consent.
- Introduce malicious software, viruses, or harmful code to the website.
9.2 Content Accuracy
While we strive to ensure that the information on our website is accurate and current, we do not warrant the completeness, reliability, or accuracy of any content. Information, including service descriptions and pricing, is subject to change without notice.
10. Indemnification
The Client agrees to indemnify and hold harmless LogicMesh, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- The Client's breach of these Terms or the Project Agreement.
- The Client's use of the Deliverables in a manner not contemplated by the Agreement.
- Any infringement of third-party intellectual property rights caused by materials or content provided by the Client.
11. Dispute Resolution
11.1 Amicable Resolution
Both parties agree to first attempt to resolve any dispute arising from these Terms or any Agreement through good-faith negotiation.
11.2 Arbitration
If the dispute cannot be resolved amicably within 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties, in Gadag, Karnataka, India. The language of arbitration shall be English.
11.3 Jurisdiction
Subject to the arbitration clause above, any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Gadag, Karnataka, India.
12. General Provisions
12.1 Entire Agreement
These Terms, together with the specific Project Agreement, constitute the entire agreement between the parties with respect to the subject matter herein.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.3 Waiver
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce the provision in the future.
12.4 Assignment
Neither party may assign its rights or obligations under these Terms without the prior written consent of the other party.
12.5 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India.
